1. Agreement to these terms

By creating an account or using SwayLine, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the platform.

2. Who can use SwayLine

You must be 18 or older to create a SwayLine account. People under 18 take part through an adult's account, or through an organizer's own process.

Some organizers accept volunteers under 18 with a guardian's consent. Obtaining and holding that consent is the organizer's responsibility, not ours.

3. What SwayLine is, and what the organizer is responsible for

SwayLine is a platform that event organizers license from us to sell tickets, take applications, publish schedules and communicate with attendees. Our customer is the organizer, not you. These terms cover your use of the platform; your ticket and the event itself are between you and the organizer.

The event organizer, not SwayLine, is responsible for its event — ticket pricing, event content, admission decisions, schedules, refunds and the event experience itself. We provide the software; your relationship regarding any specific event is with that event's organizer. To the fullest extent the law allows, SwayLine is not responsible for an organizer's acts or omissions, or for an event that is cancelled, postponed, relocated or changed.

4. Your account

You are responsible for the accuracy of your account information, for keeping your password secure, and for what happens under your account. Tell us promptly about any unauthorized use. We may suspend an account we reasonably believe has been compromised or is being used to attack the platform or another user.

5. Acceptable use

You agree not to break the law, infringe anyone's rights, try to reach accounts or organizer data that are not yours, test the platform's security without our written permission, disrupt the service, scrape or harvest data, upload malware, or use the platform to defraud, harass or harm anyone. We may suspend or terminate access for a breach of this section, immediately where the platform or its users are at risk.

6. Tickets, payments and refunds

Tickets and other items are sold by the event organizer, and your payment goes to the organizer — not to SwayLine. Payment is taken by Stripe on Stripe's own hosted checkout page, into the organizer's own Stripe account, and Stripe's terms apply to that step.

Prices, taxes and fees are shown before you pay, itemized at checkout. Where a ticketing-software fee appears among them, the organizer collects it with the rest of your payment and pays it on to SwayLine separately.

Refunds and exchanges are the organizer's decision, under the organizer's policy for that event. Contact the organizer about a refund. Where they authorize one, it is issued through Stripe back to your original payment method. ⚠ A partial refund may not return the fees — on a partial refund the organizer can choose to withhold the per-order fees, while a refund of a whole order returns everything paid. Ask the organizer to confirm the amount before they issue it.

7. Your submissions

When you submit information through the platform, you confirm that it is accurate and that you have the right to provide it, including anything you tell us about other people.

You keep ownership of what you submit. You grant SwayLine and the relevant organizer a non-exclusive, worldwide, royalty-free licence to store, copy and use it in order to operate the platform and run the event you submitted it for, and for no other purpose.

8. Intellectual property

The SwayLine platform, its software and SwayLine's names and logos belong to SwayLine LLC and its licensors. These terms give you no right to them beyond using the platform as permitted. Organizer branding and content belong to the respective organizers.

9. Third-party services

The platform relies on third-party services, including Stripe for payments, Microsoft Azure for hosting and email, Cloudflare for security and delivery, and Google for optional sign-in. Their own terms apply to your use of them, and SwayLine is not responsible for them. The current list is in our Privacy Policy.

10. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SWAYLINE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SWAYLINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY. SWAYLINE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

Nothing here limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless SwayLine LLC and its officers, members and employees from any claim, loss or expense (including reasonable legal fees) arising out of your breach of these terms, your misuse of the platform, your violation of law, or your infringement of another person's rights. This does not apply to a claim arising from SwayLine's own breach of these terms.

13. Suspension and termination

We may suspend or terminate access for a breach of these terms, or to protect the platform or its users. You may stop using the platform at any time; to request account deletion, see the Privacy Policy, which explains honestly what deletion can and cannot reach.

Sections 6 (as to completed purchases), 7, 8, 10, 11, 12, 14 and 15 survive termination.

14. Changes to these terms

We may update these terms. When we do we will change the effective date above and give notice of material changes as required. Continued use after an update constitutes acceptance, where the law permits. If you do not agree to an update, stop using the platform and contact us.

15. Governing law and where disputes are heard

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Texas, and each of us consents to those courts' jurisdiction. This does not stop you bringing a claim in a small-claims court that has jurisdiction.
